En tant qu’avocat.e d’entreprise en télétravail au Canada pour notre équipe d’affaire légale, vous fournirez une assistance juridique en droit canadien pour des projets transversaux et interdisciplinaires et effectuerez des recherches juridiques sur des questions touchant l’industrie des sciences de la vie.

 

Dans ce poste, les principales responsabilités incluront: 

  • Fournir une assistance juridique en droit canadien pour des projets transversaux et interdisciplinaires;
  • Gérer, rédiger, réviser, négocier, et conseiller sur les transactions commerciales, y compris :
    • Contrats commerciaux et de fournisseurs (p. ex., accords de non-divulgation, accords d’approvisionnement et de distribution, accords-cadres de services, cahier des charges, protocoles d’accords, lettres d’intention), dans toutes les unités commerciales ;
    • Accords de licence, accords de consultation et autres accords liés à l’entreprise ;
  • Collaborer avec l’équipe des contrats commerciaux et l’équipe de développement commercial et les accompagner dans la négociation et l’exécution des accords commerciaux, ainsi que contribuer à l’évaluation des accords en vigueur ;
  • Assister et fournir un soutien supplémentaire aux avocat.es d’entreprise seniors et aux experts juridiques seniors en la matière en ce qui concerne les transactions commerciales stratégiques, y compris les accords de licence, de codéveloppement, de co-marketing, de partenariat et autres accords de collaboration ;
  • Aider aux questions de réglementation canadienne et de relations gouvernementales ;
  • Aider le personnel parajuridique dans les questions juridiques générales et la révision des contrats ;

Éléments Clés

Les qualifications minimales recherchées pour ce poste sont les suivantes : 

  • Baccalauréat en droit et Juris Doctor ou équivalent d’une faculté de droit accréditée (LL.L, LL.B) ou diplôme équivalent en common law et autorisé à exercer le droit dans au moins une juridiction ;
  • Au moins trois ans d’expérience dans le domaine, de préférence dans un cabinet d’avocats de taille moyenne ou grande et dans un environnement d’entreprise, avec une certaine expérience internationale;
  • Membre en règle du Barreau, dans n’importe quelle province canadienne, qualifié pour exercer le droit ;
  • Bilingue (français et anglais).
  • Capacité à inspirer confiance grâce à de solides compétences interpersonnelles et à une collaboration efficace ;
  • Capacité à gérer efficacement plusieurs projets simultanément ;
  • Excellente communication (en matière de rédaction et de présentation) avec la capacité de communiquer efficacement des questions juridiques et de conformité (verbalement et par écrit) de manière claire et compréhensible à tous les niveaux de l’organisation ;
